Terms of Service

1. Who we are and agreeing to these terms

Sphinx Money (the "Service") is operated by Happy Raccoon, LLC ("Happy Raccoon", "we", "us" or "our"). These Terms of Service ("Terms") are an agreement between you and Happy Raccoon about your use of the Service at sphinx.money and in our apps.

By creating an account, or by using the Service, you agree to these Terms and confirm that you have read our Privacy Policy, which explains how we handle your information. If you don't agree, don't use the Service.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service on behalf of someone else, you confirm that you are authorized to do so.

3. Your account

• Give us accurate information when you sign up, and keep your email address current so we can reach you about your account.
• You are responsible for keeping your password, passkeys and any connected sign-in (such as Google or Apple) secure, and for activity under your account.
• Tell us right away at support@sphinx.money if you believe someone else has accessed your account.
• One person per account. Use a household to share data with others instead of sharing a sign-in.

4. What the Service is, and what it isn't

Sphinx Money helps you record and analyze accounts, transactions, credit card statements, budgets, goals, investments, retirement plans and the things you own. Figures you see, such as balances, net worth, investment performance, exchange rates and projections, are calculated from the information you enter or import and from third-party data such as market prices.

• Not a financial institution. We are not a bank, broker, money transmitter or payment service. The Service cannot move, hold or transfer your money.
• Not advice. Nothing in the Service is financial, investment, tax, accounting or legal advice, or a recommendation to buy or sell any security. Retirement projections and similar tools are estimates based on assumptions you choose. Talk to a qualified professional before making financial decisions.
• Third-party data may be wrong or late. Market prices, exchange rates, dividends, property estimates, institution logos and similar data come from outside providers. They may be delayed, incomplete or inaccurate, and we don't guarantee them.
• You are the source of truth. Your bank, card issuer and broker statements are the official record of your accounts. Check anything important against them.

5. Your content

"Your Content" is everything you put into the Service: account and transaction details, notes, categories, budgets, files and attachments, asset records and similar information. You keep all rights to Your Content.

You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process and display Your Content only as needed to provide, secure and improve the Service for you, and to share it with the people you choose to share it with (see section 6). This license ends when Your Content is deleted from the Service, except for copies held for the limited time described in our Privacy Policy. We do not sell Your Content.

You confirm that you have the right to upload Your Content and that it doesn't violate the law or anyone else's rights. Keep your own copies of anything important; the Service is not a backup or document archive of record.

6. Households and sharing

You can invite others to a household and share or split transactions with them. When you do, the members of that household can see and, depending on the feature, change the data you share there. Only invite people you trust. You are responsible for having their permission before you add information about them, and for what you share with them. Leaving or removing someone from a household changes what they can see from then on; it can't recall what they already saw.

7. Acceptable use

You agree not to:

• use the Service for anything illegal, fraudulent or harmful, including money laundering or hiding the proceeds of crime;
• access or try to access another user's account or data, or probe, scan or test the vulnerability of the Service without our written permission;
• interfere with or disrupt the Service, including by sending excessive automated requests, or circumvent rate limits or security measures;
• upload malware or content you don't have the right to share;
• copy, resell, sublicense or offer the Service to others as your own, or scrape it in bulk;
• reverse engineer the Service except where the law expressly allows it.

If you find a security issue, please report it to support@sphinx.money. We appreciate responsible disclosure.

8. Third-party services

Some features rely on other companies, for example signing in with Google or Apple, address search and maps, property value estimates, market data and email delivery. Your use of a third party's service may also be subject to its own terms and privacy policy. We aren't responsible for third-party services, and features that depend on them may change or stop working if the third party changes them.

9. Fees and paid plans

The Service is currently offered without charge. We plan to offer paid plans, and some features may become available only on a paid plan. We will tell you before any feature you use becomes paid, and we will never charge you without your explicit agreement to a price and billing terms, which will be presented to you at that time.

10. Changes to the Service

We are constantly improving the Service, so features may be added, changed or removed. If we make a change that significantly reduces what you can do with your data, we will give you reasonable notice and a way to export it where practical.

11. Our intellectual property

The Service, including its software, design, text and the Sphinx name and logos, belongs to Happy Raccoon and its licensors and is protected by law. We give you a personal, non-transferable, non-exclusive, revocable license to use the Service under these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.

12. Ending your account

You can stop using the Service and delete your account at any time from Settings. Deleting your account permanently removes Your Content as described in our Privacy Policy, and it can't be undone, so export anything you want to keep first.

We may suspend or close your account if you seriously or repeatedly break these Terms, if we must do so by law, or to protect the Service, other users or us. Where reasonable we will tell you first and give you a chance to export your data. We may also discontinue the Service entirely; if we do, we will give you at least 30 days' notice so you can export your data.

Sections 5 (to the extent needed to complete deletion), 11, 13, 14, 15, 16 and 17 continue after your account ends.

13. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, Happy Raccoon disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted, secure or error-free, that calculations, projections or third-party data will be accurate or complete, or that Your Content will never be lost.

Some jurisdictions don't allow certain warranty disclaimers, so some of the above may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, Happy Raccoon and its members, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or investment value, arising out of or related to the Service or these Terms, even if we were advised of the possibility. This includes any decision you make, or don't make, based on information shown in the Service.

Our total liability for all claims relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) one hundred US dollars (US $100).

These limits apply to every theory of liability and even if a remedy fails of its essential purpose. They don't limit liability that can't be limited by law, such as for fraud or gross negligence where the law forbids such a limit.

15. Indemnity

You agree to defend, indemnify and hold harmless Happy Raccoon from claims, losses and expenses (including reasonable attorneys' fees) brought by third parties that arise from Your Content, your misuse of the Service, or your violation of these Terms or of anyone else's rights.

16. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. Before filing a claim, please contact us at support@sphinx.money so we can try to resolve it informally; most issues can be. If we can't resolve a dispute within 60 days, you and we agree that it will be resolved exclusively in the state or federal courts located in Albuquerque, Bernalillo County, New Mexico, and both of us consent to their jurisdiction. Either of us may bring a qualifying claim in small claims court instead.

If you live in a country whose consumer protection laws give you the right to bring claims in your local courts or under your local law, nothing in these Terms takes that right away.

17. General

• Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
• Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
• No waiver. Not enforcing a provision isn't a waiver of our right to do so later.
• Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets, and we will tell you if that happens.
• Force majeure. We aren't liable for delays or failures caused by events outside our reasonable control.
• Notices. We may send notices to the email address on your account or show them in the Service. You can reach us at the address below.
• Language. If we provide a translation of these Terms, the English version controls where they differ.

18. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will tell you by email or in the Service at least 30 days before it takes effect, and we may ask you to accept the new Terms to keep using the Service. The date at the top shows when these Terms last changed. If you don't agree to an update, you can delete your account before it takes effect.
